This policy ensures that every team member conducts business with integrity and adheres to all relevant laws, setting aside personal interests or benefits.

This summary outlines the company’s policy regarding (1) the exchange of gifts, favors, entertainment, and payments by company members, (2) potential conflicts of interest, and (3) other relevant matters:

Policy Overview

Gifts, Favors, and Payments by the Company: The company may extend gifts, favors, and payments to others under these conditions:

  • They are in line with standard business practices.
  • They are of modest value and not perceived as bribes.
  • They comply with all applicable laws and ethical norms.
  • Public disclosure would not embarrass the company.

Company policy prohibits payments, commissions, or compensation to customers’ associates (or their relatives or acquaintances) not stipulated in a written contract.

Gifts, Favors, Entertainment, and Payments to Company Members:

Team members must avoid soliciting or accepting gifts, favors, entertainment, or payments that lack a legitimate business purpose. This also includes preventing personal loans (except standard market-rate loans from financial institutions) from entities or individuals that do business with the company or are competitors. In applying this policy:

a. Team members may accept customary business courtesies for themselves and their families, such as:

  • Meals with vendors, occasionally including spouses.
  • Small gifts from vendors like calendars or pens.
  • Event tickets from vendors, provided the vendor accompanies the team member.
  • Overnight outings with other company or vendor representatives, subject to prior approval.
  • Alcoholic beverage gifts are discouraged.
  • Acceptable holiday gifts like food items.

b. Strict standards apply to gifts or services from suppliers.

  • Day activities like golf are permissible with prior approval, without family member participation.
  • Team members or their families’ use of vendor facilities for personal use is forbidden, except in limited circumstances.
  • Cash or equivalent gifts are strictly prohibited.
  • Management should avoid accepting significant gifts from subordinates.

Conflict of Interest

Team members must avoid situations where personal interests conflict with company interests. This includes relationships with customers, suppliers, contractors, competitors, or any entity doing or seeking business with the company. Potential conflicts must be disclosed in writing to a manager. Such conflicts might involve:

  • Significant ownership in a competing or collaborating enterprise by a team member or their family.
  • Holding positions in external enterprises that do business with or compete against the company.
  • Acting as a broker or intermediary in transactions involving the company.
  • Other situations, including personal relationships, might compromise a team member’s loyalty to the company.

Confidential Information

Unauthorized disclosure or misuse of confidential company information, including personnel details, is strictly prohibited and may lead to severe disciplinary actions.

Compliance: Non-compliance with this policy will result in disciplinary actions, including possible termination. Team members aware of any policy violations must report them to management. Understanding Social Media

Social media encompasses various platforms and communication methods online, including blogs, social networking sites (Twitter, Facebook, LinkedIn, Instagram, YouTube), and other forms of electronic communication.

Familiarity with and Adherence to Company Policies:

Ensure compliance with this and all other company policies as outlined in the Employee Handbook. Inappropriate postings, including discriminatory remarks or threats, are not tolerated and may lead to disciplinary action, including termination.
